Introduction
These Terms and Conditions (“Terms”) govern the use of LinkedIn and email services provided by Turn Digital Limited, trading as Astro Leads or Astroleads.com (“Provider”), to the prospective customer (“Client”). By engaging our services or paying the monthly fee, the Client accepts and agrees to comply with these Terms.
LinkedIn Services
Connection Limits
The Client agrees to the following connection limits:
- Up to 100-200 connections per week, typically starting at 10-20 daily and gradually increasing.
- Connection limits are account-specific and vary based on the account’s previous activity.
- Newer accounts may require a longer warm-up period, potentially achieving only 10-15 connection requests per day in the first 3 weeks.
Account Limitations
The Client acknowledges that:
- LinkedIn account limitations may occur, particularly for newer accounts, which are not the responsibility of the Provider.
- Periodically, LinkedIn may request identification during a campaign, which may pause campaign progress.
- The Client agrees to provide any requested identification details promptly to allow for campaign continuation within 48 hours after submission.
- These pauses are due to the account’s age, and the billing period will continue during LinkedIn’s authentication process.
Client Responsibilities
The Client agrees to:
- Refrain from excessive independent connection requests to avoid reaching limits faster or flagging unusual activity to LinkedIn.
- Reply to all warm and hot leads presented.
- Maintain an active LinkedIn account by liking posts, commenting, and posting independently at least twice weekly.
- Notify the Provider of any password changes, as this will revoke access and pause the campaign.
Provider Responsibilities
The Provider:
- Takes no responsibility for changes in LinkedIn policy that could impact account access.
- Will take proactive measures to stay informed about LinkedIn policy changes to ensure cohesive adaptation.
Usage Restrictions
The Client may not:
- Utilize the automation for uses outside of the agreement/campaigns with the Provider without written consent.
- Engage in other LinkedIn automation while using the Provider’s services, as this may exceed LinkedIn’s terms of use.
Email Services
Email Targets
The Client understands that:
- The stated number of monthly emails is a target and may not always be achieved due to various factors.
- The Provider will consistently aim to meet this target.
Domain Setup
The following applies to domain setup:
- A minimum of two weeks is required to warm up domains created for the Client.
- Domains are the property of the Provider unless otherwise agreed upon.
Lead Management
Regarding lead management:
- Lead data is the property of the Provider unless previously provided by the Client.
- If the Client provides leads, they are responsible for the volume supplied.
- Client-provided leads may require verification at a cost to the Provider, potentially reducing the number of contactable leads.
- The Client should respond to leads in a timely manner (within 24 hours).
Process
The process for campaign management includes:
- The Provider will supply lead data based on the Client’s Ideal Customer Profile (ICP).
- The Client should at this stage highlight any incorrect leads or information to prevent reaching out to irrelevant leads.
- Once agreed upon, the ICP criteria should not be changed unless mutually agreed by both parties.
- An initial agreement on success metrics for each campaign will be established before launch.
- The Provider is responsible for presenting the Client’s business to the agreed ICP and leads. The Client is responsible for manual follow-ups, appointment bookings, and closing sales.
- A sequence of messages will be agreed upon, which can be changed twice during the campaign duration.
Communications
Communication protocols are as follows:
- Hot lead communications will be through WhatsApp, email, or Slack, as agreed with the Client.
- Campaign updates will be provided via the Astro Leads Dashboard at my.astroleads.com.
- The Client is responsible for logging into the dashboard to access real-time data and email updates for new opportunities.
- Direct communications to the Astro Leads team will be handled between 9am – 5:30pm UK time, Monday to Friday.
- The Client should inform the Provider of any absences with 7 days notice to ensure optimal campaign performance.
Payment and Commitment
Payment terms and commitment details:
- Full payment must be received before the start of each monthly campaign.
- Upfront payments for quarterly, half-yearly, or annual commitments may qualify for discounts as agreed by the Provider.
- All packages require a minimum 3-month commitment.
- Cancellation within the initial commitment phase is not possible unless agreed by the Provider.
- Cancellation after the initial 3-month commitment must be actioned at least 7 days before the start of the next campaign month.
Limitation of Liability
The Provider’s liability is limited as follows:
- The Provider is not responsible for changes in LinkedIn or email service provider policies that may affect the campaign.
- The Provider is not liable for any business losses or damages resulting from the use of our services.
- The Provider is not responsible for anomaly leads for which are marked irrelevant or to remove from the mailing list. Whilst this should not occur often The Provider will take measures to add unsubscribe links and remove irrelevant leads from campaigns once highlighted.
- The total liability of the Provider for any claim arising out of or relating to these Terms shall not exceed the amount paid by the Client for the services in the 12 months preceding the claim.
Intellectual Property
Intellectual property rights are governed as follows:
- All content, software, and technology used in providing the services are the property of the Provider.
- The Client may not reproduce, modify, or distribute any of the Provider’s intellectual property without express written consent.
Termination
The Provider reserves the right to terminate services if:
- The Client breaches any of these Terms.
- The Client fails to make timely payments.
- The Provider determines that continuing to provide services would violate any applicable laws or regulations.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Amendments
The Provider reserves the right to amend these Terms at any time. The Client will be notified of any changes, and continued use of the services after such notification constitutes acceptance of the amended Terms.
By engaging our services or making payment, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
